Understand company types
These are broad categories for comparing options. Their legal meaning, availability and tax treatment vary by jurisdiction. Use a country page to find the actual local names.
Limited liability companies
Often considered for operating businesses with a separate legal identity. Liability limits, member rules and tax treatment are determined locally. An LLC, GmbH, SARL and OÜ should not be treated as interchangeable legal forms.
Share companies and corporations
Structures with share capital may be private or public. Check governance, capital, shareholder and reporting rules, particularly before seeking outside investment.
Partnerships
General and limited partnerships distribute control and liability differently. Determine which partners may face personal liability and whether foreign partners are eligible.
Sole proprietorships
The business may not be legally separate from its owner. Confirm personal liability, registration and residence restrictions before treating this as a suitable foreign-founder route.
Branches of foreign companies
A branch is typically an extension of a parent entity, rather than a newly incorporated subsidiary. Local registration and parent-company documentation may be required.
Representative offices
An office for permitted non-trading activities may have a narrower remit than a branch or subsidiary. Confirm whether it can earn revenue, invoice customers or employ staff.
Cooperatives, foundations and nonprofit entities
These structures serve particular member, charitable or other purposes. They should not be assumed to be available for an ordinary commercial business.
